IMPORTANT NOTICE

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. THESE TERMS CREATE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ZINGTHIS, LLC.

By accessing or using the ZingThis.com website, any of its subdomains (including but not limited to ai.zingthis.com), mobile applications, or any services, tools, features, or functionality offered on or through our platforms (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Services.

THESE TERMS CONTAIN AN ARBITRATION PROVISION THAT REQUIRES THE RESOLUTION OF DISPUTES ON AN INDIVIDUAL BASIS, LIMITS YOUR ABILITY TO SEEK RELIEF IN A COURT OF LAW, AND WAIVES YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR A JURY TRIAL FOR CERTAIN DISPUTES.

1. ABOUT OUR SERVICES

ZingThis, LLC (“ZingThis,” “we,” “us,” or “our”) provides access to a suite of AI-powered tools, SaaS applications, training materials, digital products, GPT mentors, content generation features, and related services tailored to entrepreneurs, content creators, and business professionals.

THE SERVICES ARE NOT INTENDED TO PROVIDE LEGAL, FINANCIAL, TAX, ACCOUNTING, MEDICAL, MENTAL HEALTH, OR OTHER PROFESSIONAL ADVICE. Before making any legal, financial, tax, accounting, medical, or other decisions for which professional assistance would be appropriate, you should consult with an appropriate licensed professional. Digital products related to career development, job searching, layoff recovery, or employment (including but not limited to “The 90-Day Corporate Layoff Survival System”) are for informational and educational purposes only. They do not constitute:

  • Legal advice regarding employment law, severance agreements, non-compete clauses, or discrimination
  • Financial advice regarding unemployment benefits, budgeting, debt management, or investments
  • Medical or mental health advice regarding stress, anxiety, depression, or crisis intervention

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Eligibility

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at info@zingthis.com of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.

3. DIGITAL PRODUCTS AND DOWNLOADABLE CONTENT

3.1 License Grant

When you purchase a digital product from ZingThis (including but not limited to PDFs, eBooks, guides, templates, worksheets, or digital downloads), you are granted a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use only.

You MAY: ✓ Download and save the product to your personal devices
✓ Print one (1) copy for personal use
✓ Use templates and worksheets for your own personal purposes
✓ Reference the content for your personal job search, career development, or business planning

You MAY NOT: ✗ Share, distribute, resell, or transfer the product to any third party
✗ Post the product publicly on websites, social media, file-sharing platforms, or cloud storage services
✗ Modify, adapt, translate, or create derivative works from the content
✗ Use the content for commercial purposes, corporate training, coaching, or consulting without express written permission
✗ Remove, alter, or obscure any copyright notices, watermarks, or proprietary markings
✗ Upload the product to any public or semi-public platform (including but not limited to: Google Drive public folders, Dropbox public links, Scribd, SlideShare, Reddit, Discord servers, or Facebook groups)

3.2 Refund Policy for Digital Products

ALL SALES OF DIGITAL PRODUCTS ARE FINAL. Due to the nature of digital goods, no refunds, returns, or exchanges will be issued once the product has been accessed, downloaded, or delivered to your email.

By purchasing, you acknowledge that you are waiving any right to refund under applicable consumer protection laws that may allow returns for digital content.

Limited Exceptions: Refunds may be issued solely at ZingThis’s discretion in cases of:

  • Technical errors preventing download (must be reported within 72 hours)
  • Duplicate charges (must provide proof)
  • Material defects in the product itself (missing pages, corrupted files, unreadable content)

To request a refund exception, contact info@zingthis.com within 72 hours of purchase with:

  • Your order number
  • Description of the technical issue
  • Screenshots or proof of the problem

We reserve the right to deny refund requests that do not meet these criteria.

3.3 Delivery

Digital products are delivered electronically via:

  • Email (download link sent to the email address provided at checkout)
  • Instant download after payment confirmation
  • Access through your ZingThis account dashboard (if applicable)

You are responsible for:

  • Providing a valid, active email address
  • Checking spam/junk folders for delivery emails
  • Downloading the product within 30 days of purchase (links may expire)
  • Maintaining your own backup copies

ZingThis is not responsible for delivery failures due to:

  • Incorrect email addresses provided by you
  • Spam filters blocking our emails
  • Technical issues on your end (internet connectivity, device storage)
  • Expired download links due to your delay in downloading

3.4 Copyright and Intellectual Property

All digital products sold through ZingThis are protected by United States and international copyright laws. All rights reserved.

Unauthorized reproduction, distribution, public display, or use of our digital products constitutes copyright infringement and may result in:

  • Civil penalties up to $150,000 per work infringed (17 U.S.C. § 504)
  • Criminal penalties including fines and imprisonment (17 U.S.C. § 506)
  • Legal action and injunctive relief

ZingThis actively monitors for unauthorized distribution and reserves the right to:

  • Pursue legal action against infringers
  • Revoke licenses from users who violate terms
  • Report copyright violations to hosting platforms, ISPs, and law enforcement
  • Seek damages and attorneys’ fees

3.5 Anti-Piracy and Enforcement

Digital products may be embedded with unique identifiers, digital watermarks, or tracking codes. ZingThis actively monitors for unauthorized sharing and distribution using automated tools and third-party services.

If we detect that you have shared, distributed, or resold digital products in violation of these Terms:

a) Your license will be immediately revoked without refund
b) Your account will be permanently terminated
c) You will be liable for statutory damages equal to the greater of:

  • 10 times the product purchase price per instance of unauthorized distribution, OR
  • Actual damages incurred by ZingThis (including lost sales, legal fees, and investigation costs)
    d) ZingThis may pursue legal action including copyright infringement claims under the Digital Millennium Copyright Act (DMCA) and applicable state laws

By purchasing, you consent to ZingThis’s use of digital tracking, watermarking, and anti-piracy technologies to protect intellectual property.

3.6 No Guarantee of Results

Digital products related to career development, job searching, business growth, entrepreneurship, or personal development are provided for educational and informational purposes only.

ZingThis makes no guarantee, representation, or warranty that use of any digital product will result in:

  • Employment, job interviews, or job offers
  • Specific income, salary outcomes, or raises
  • Business success, revenue generation, or profitability
  • Any particular result, outcome, or benefit

Your results depend on numerous factors beyond our control, including but not limited to:

  • Your individual effort, dedication, and follow-through
  • Your prior experience, education, and qualifications
  • Market conditions and economic factors
  • Industry-specific trends and hiring practices
  • Geographic location and cost of living
  • Personal circumstances and life events
  • Quality of your resume, interview skills, and networking abilities
  • Timing, luck, and factors outside anyone’s control

No express or implied warranty is made regarding the accuracy, completeness, or usefulness of any information provided.

4. PAYMENT AND PRICING

4.1 Pricing

All prices are stated in U.S. Dollars (USD) and are subject to change without notice. We reserve the right to modify pricing at any time, but price changes will not affect orders already placed.

4.2 Payment Processing

Payments are processed through third-party payment processors (including but not limited to Stripe, PayPal, or other gateways). By making a purchase, you agree to the payment processor’s terms of service and privacy policy.

You agree to provide valid payment information and authorize ZingThis to charge your payment method for:

  • One-time purchases (digital products)
  • Subscription fees (if applicable)
  • Any applicable taxes

4.3 Taxes

You are responsible for all applicable taxes, duties, and government fees related to your purchase. Prices listed do not include sales tax, VAT, or other taxes unless explicitly stated.

5. PROHIBITED USES

You agree not to use the Services or digital products for any of the following purposes:

a) Any unlawful purpose or in violation of any applicable laws
b) To infringe upon or violate our intellectual property rights or the intellectual property rights of others
c) To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
d) To submit false or misleading information
e) To upload or transmit viruses, malware, or any other malicious code
f) To collect or track personal information of others without consent
g) To spam, phish, or engage in other unsolicited promotional activities
h) To interfere with or circumvent security features of the Services
i) To impersonate any person or entity or falsely state or misrepresent your affiliation
j) To reverse engineer, decompile, or disassemble any digital products
k) To share, distribute, or resell digital products in violation of Section 3

Violation of this section may result in immediate termination of your account and legal action.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Content

The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, arrangement, and digital products) are owned by ZingThis, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Trademarks

“ZingThis,” the ZingThis logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ZingThis, LLC or its affiliates or licensors. You must not use such marks without our prior written permission.

6.3 Limited License to Use Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to your compliance with these Terms.

7. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL DIGITAL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

ZINGTHIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that defects will be corrected
  • Warranties that the Services or servers are free of viruses or harmful components

ZINGTHIS MAKES NO GUARANTEE THAT:

  • Use of digital products will result in employment, income, or any specific outcome
  • Information provided is current, accurate, or applicable to your situation
  • The Services will meet your requirements or expectations
  • Any errors or defects will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

8. LIMITATION OF LIABILITY

8.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZINGTHIS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

a) Any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Lost profits, revenue, or income
  • Lost data or business opportunities
  • Loss of use or goodwill
  • Business interruption
  • Cover or procurement of substitute services

b) Any damages arising from:

  • Your use of or inability to use the Services
  • Unauthorized access to your account or data
  • Errors, mistakes, or inaccuracies in content
  • Personal injury or property damage from use of Services
  • Any bugs, viruses, or malicious code transmitted through Services
  • Suspension or termination of your account

8.2 Limitation for Digital Products

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZINGTHIS SHALL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM USE OF DIGITAL PRODUCTS, INCLUDING BUT NOT LIMITED TO:

a) Employment-related claims:

  • Lost employment opportunities, job offers, or income
  • Failed job searches, rejected applications, or unsuccessful interviews
  • Termination, layoff, or workplace disputes
  • Emotional distress, anxiety, or depression related to unemployment
  • Financial losses or hardship during job search

b) Career-related claims:

  • Failure to achieve salary negotiations or raises
  • Inability to change careers or industries
  • Missed networking opportunities or professional connections
  • Poor performance in interviews or assessments

c) Any damages exceeding the amount you paid for the specific digital product (e.g., $37 for The 90-Day Corporate Layoff Survival System)

d) Any claims arising more than thirty (30) days after purchase

ZINGTHIS’S MAXIMUM AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATED TO DIGITAL PRODUCTS SHALL NOT EXCEED THE PURCHASE PRICE YOU PAID FOR THE PRODUCT IN QUESTION.

8.3 Essential Purpose

You acknowledge that these limitations of liability are fundamental elements of the agreement between you and ZingThis, and that ZingThis would not provide the Services or digital products without these limitations.

Some jurisdictions do not allow limitations on liability, so some of the above limitations may not apply to you.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ZingThis, LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to:

a) Your violation of these Terms of Service
b) Your violation of any applicable laws, regulations, or third-party rights
c) Your unauthorized use, reproduction, distribution, or sale of digital products
d) Any misrepresentation made by you
e) Your violation of any intellectual property rights, privacy rights, or other rights of any third party
f) Any content you submit, post, or transmit through the Services
g) Your negligence, willful misconduct, or breach of these Terms

This indemnification obligation will survive termination of your account or use of Services.

ZingThis reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

10. DISPUTE RESOLUTION AND ARBITRATION

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law principles.

10.2 Mandatory Arbitration

YOU AND ZINGTHIS AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, EXCEPT AS PROVIDED BELOW.

Arbitration shall be conducted by a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

Exceptions to Arbitration:

  • Small claims court actions (if claim qualifies)
  • Intellectual property disputes (copyright, trademark infringement)
  • Equitable relief to prevent unauthorized use or disclosure of confidential information

10.3 Class Action Waiver

YOU AND ZINGTHIS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

You expressly waive your right to:

  • Participate in class action lawsuits
  • Participate in class arbitrations
  • Participate in representative actions
  • Have a jury trial

10.4 Location

Any arbitration shall take place in Garrett County, Maryland, or remotely via video conference if mutually agreed.

10.5 Costs

Each party shall bear its own costs and attorneys’ fees, unless the arbitrator awards costs and fees to the prevailing party as permitted by law.

11. TERMINATION

11.1 Termination by You

You may terminate your account at any time by contacting us at info@zingthis.com. Upon termination:

  • You will lose access to your account and any subscription services
  • Previously purchased digital products remain licensed to you under Section 3.1 (unless license is revoked for violations)
  • No refunds will be issued for digital products or unused subscription periods

11.2 Termination by ZingThis

We reserve the right to suspend or terminate your account and access to the Services, with or without notice, for:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Unauthorized sharing or distribution of digital products
  • Non-payment of fees
  • Any other reason at our sole discretion

Upon termination:

  • All licenses granted to you will immediately cease
  • You must cease all use of the Services and digital products
  • We may delete your account data and content
  • Sections that by their nature should survive termination shall survive (including Sections 3, 7, 8, 9, 10, 13)

11.3 Effect of Termination

Termination of your account does not entitle you to any refund for digital products or subscription fees already paid. You remain liable for all obligations incurred prior to termination.

12. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time, effective upon posting the updated Terms on our website with a new “Effective Date.”

Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

For material changes that affect your rights, we will make reasonable efforts to notify you via:

  • Email to the address associated with your account
  • Prominent notice on our website
  • In-app notification (if applicable)

We encourage you to review these Terms periodically.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by ZingThis, constitute the entire agreement between you and ZingThis concerning the Services.

13.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of ZingThis.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

ZingThis shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13.6 Headings

Section headings in these Terms are for convenience only and shall not govern the meaning or interpretation of any provision.

13.7 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of conflict, the English version shall prevail.

13.8 International Use

ZingThis makes no representation that the Services are appropriate or available for use in all locations. Access to the Services may not be legal by certain persons or in certain countries.

You access the Services at your own initiative and are responsible for compliance with all applicable local laws, rules, and regulations, including those related to:

  • Data privacy and protection
  • Intellectual property rights
  • Export controls
  • Content restrictions
  • Tax obligations

We reserve the right to limit access to our Services to any person, geographic region, or jurisdiction, at our sole discretion.

✓ You understand and agree to be legally bound by these Terms
✓ You meet the eligibility requirements (18+ years of age)
✓ You agree to the arbitration and class action waiver provisions
✓ You understand that digital product sales are final with no refunds
✓ You agree not to share, distribute, or resell digital products
✓ You waive any claims for guaranteed employment or income outcomes

IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE, YOU MUST NOT ACCESS OR USE THE SERVICES OR PURCHASE ANY DIGITAL PRODUCTS.

By using the Services, you acknowledge that you are entering into a legally binding agreement governed by the laws of the State of Maryland, USA, and that your use of the Services is not contrary to the laws of your country or jurisdiction.

If local laws prohibit your participation, you agree not to use the Services.
