ZingThis also provides access to digital products, training materials, SaaS applications, AI-powered tools, and related services tailored to entrepreneurs, content creators, and business professionals.

ZingThis LegacyLoop is a structured creator visibility network offering:

• Booster Membership — $19/month creator visibility subscription
• Admin Pro Membership — $49/month, which includes hosting a private Circle of up to 15 creators in the same niche and earning 25% of that Circle’s monthly revenue
• One-Time Referral Bonus — a flat $9 bonus paid after a referred member’s second payment clears (single-level only, no pyramiding)
• Voluntary Discovery — cross-promotion opportunities on Facebook, Instagram, and LinkedIn at the member’s sole discretion

ZingThis makes no guarantees of reach, algorithmic outcomes, or third-party platform payouts. All engagement and cross-promotion is entirely voluntary.

1.1 Addendum: ZingRally Platform Terms

ZingRally is a creator fundraising and commerce facilitation platform operated by ZingThis LLC as a secondary service. ZingRally provides tools that allow creators, organizations, and individuals to promote fundraising campaigns and sell products to supporters.

ZingRally is not a charity, escrow agent, financial institution, or fiduciary. We do not guarantee the success of any fundraising campaign and are not responsible for creator representations, fulfillment, or use of funds. All creators using ZingRally remain solely responsible for the accuracy of campaign information, compliance with applicable laws, and fulfillment of promises made to supporters.

2. Eligibility and Account Registration

2.1 Eligibility

Our Services are intended solely for individuals who are 18 years of age or older. By accessing or using the Services, you represent and warrant that:

• You are at least 18 years of age
• You are not prohibited from accessing or using the Services under any applicable laws or regulations
• If you are using the Services on behalf of an organization, you have the legal authority to bind that organization to these Terms

The Services are not directed to, and must not be used by, individuals under the age of 18. If we learn that we have collected or received personal information from a child under 18, we will delete that information immediately and may suspend the associated account.

2.2 Account Information

When you register for an account, you agree to provide accurate, current, and complete information and to keep this information updated. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.

3. Membership, Subscriptions, and Digital Products

3.1 Membership Tiers and Billing

ZingThis LegacyLoop offers the following membership tiers:

• Booster Membership: $19/month, billed monthly, providing access to creator visibility features and discovery circles
• Admin Pro Membership: $49/month, billed monthly, providing all Booster features plus the ability to host a private Circle of up to 15 creators in the same niche and earn 25% of that Circle’s monthly gross subscription revenue

Memberships automatically renew each month unless cancelled. You may cancel at any time; cancellation takes effect at the end of your current billing period. No partial-month refunds are issued.

3.2 Circle Host Revenue Share

Admin Pro members approved to host Circles (“Circle Hosts”) earn 25% of the gross monthly subscription fees paid by active members in their Circle(s). Revenue share is calculated monthly and paid via Stripe Connect directly to the host’s connected bank account after deducting the host’s own $49/month subscription fee. Cleared balances are processed by the 15th of each calendar month. Earnings depend entirely on Circle membership levels and are not guaranteed. 3.3 Referral Bonus Program

All members have access to a unique referral link containing a ?ref= tracking parameter with a 30-day cookie. A one-time flat bonus of $9.00 is paid after a referred member’s second monthly payment clears (approximately day 31 of the referred member’s subscription). This is a single-level program — there are no second-level, third-level, or downline commissions. Referral bonuses are paid via Stripe Connect or platform credit at ZingThis’s discretion. ZingThis actively monitors for referral fraud; fraudulent activity will result in forfeiture of bonuses and account termination.

3.3A Mentorship & Service Fee

Admin Pro Circle Hosts who directly refer other Hosts to the platform may be eligible to receive a $10 monthly Mentorship & Service Fee for each referred Host, provided the following conditions are met:

• The referred Host has an active Admin Pro membership and remains active for a minimum of 30 consecutive days
• The referring Host provides documented onboarding, operational support, or mentorship services to the referred Host
• At least one mentorship interaction or support deliverable is recorded monthly within the platform

The Mentorship & Service Fee is intended to compensate for continued guidance, onboarding support, operational coaching, and Circle growth assistance. It is not a passive commission and is not paid solely for recruitment. Failure to provide documented mentorship activity may result in suspension of recurring payments. ZingThis retains sole discretion in determining fee eligibility and may request documentation at any time.

3.3B Payout Hold Period

All referral bonuses, Circle Host revenue share, and Mentorship & Service Fees are subject to a 30 to 60 day hold period before becoming eligible for payout. This hold exists to protect against fraud, chargebacks, and refund abuse. Initial payouts for new members may be held for up to 60 days. ZingThis reserves the right to withhold, reverse, or claw back any payout if fraud or policy violation is detected at any time, including after payment has been issued. All payouts require a connected Stripe Connect bank account. Members without a connected bank account may have payouts processed manually at ZingThis’s discretion.

3.4 License Grant for Digital Products

When you purchase a digital product from ZingThis (including but not limited to PDFs, eBooks, guides, templates, worksheets, or digital downloads), you are granted a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use only.

You may download and save the product to your personal devices, print one (1) copy for personal use, use templates and worksheets for your own personal purposes, and reference the content for your personal or business planning.

You may not share, distribute, resell, or transfer the product to any third party; post the product publicly on websites, social media, or file-sharing platforms; modify, adapt, translate, or create derivative works; use the content for commercial purposes, coaching, or consulting without express written permission; or remove, alter, or obscure any copyright notices or watermarks.

3.5 Refund Policy

ALL SALES OF DIGITAL PRODUCTS ARE FINAL. Due to the nature of digital goods, no refunds, returns, or exchanges will be issued once a product has been accessed, downloaded, or delivered.

Membership subscriptions are non-refundable for the current billing period upon cancellation. Limited exceptions for digital products may be granted solely at ZingThis’s discretion for: technical errors preventing download (reported within 72 hours), duplicate charges (with proof), or material defects in the product itself. To request a refund exception, contact [email protected] and cc: [email protected] within 72 hours of purchase with your order number, description of the issue, and supporting screenshots.

3.6 Delivery

Digital products are delivered electronically via email download link or instant download after payment confirmation. You are responsible for providing a valid email address, checking spam/junk folders, and downloading products within 30 days of purchase. ZingThis is not responsible for delivery failures due to incorrect email addresses, spam filters, or technical issues on your end.

3.7 Copyright and Intellectual Property

All digital products sold through ZingThis are protected by United States and international copyright laws. Copyright © 2025–2026 ZingThis, LLC. All rights reserved. Unauthorized reproduction, distribution, or use of our digital products constitutes copyright infringement and may result in civil penalties up to $150,000 per work infringed (17 U.S.C. § 504), criminal penalties (17 U.S.C. § 506), and legal action.

3.8 Anti-Piracy and Enforcement

Digital products may be embedded with unique identifiers, digital watermarks, or tracking codes. ZingThis actively monitors for unauthorized sharing and distribution. If we detect that you have shared, distributed, or resold digital products in violation of these Terms, your license will be immediately revoked without refund, your account will be permanently terminated, and you will be liable for statutory damages equal to the greater of 10 times the product purchase price per instance of unauthorized distribution, or actual damages incurred by ZingThis.

3.9 No Guarantee of Results

Digital products and platform features are provided for educational and informational purposes only. ZingThis makes no guarantee that use of any product or membership will result in employment, income, business success, or any particular outcome. Your results depend on your individual effort, qualifications, market conditions, and numerous other factors beyond our control.

4. Payment and Pricing

4.1 Pricing

All prices are stated in U.S. Dollars (USD) and are subject to change without notice. Price changes will not affect active subscriptions until the next renewal period, at which point members will be notified.

4.2 Payment Processing

Payments are processed through third-party payment processors (including but not limited to Stripe). By making a purchase or subscribing, you agree to the payment processor’s terms of service and privacy policy, and you authorize ZingThis to charge your payment method for membership fees, one-time purchases, and any applicable taxes.

4.3 Taxes

You are responsible for all applicable taxes, duties, and government fees related to your purchase or subscription. Prices listed do not include sales tax, VAT, or other taxes unless explicitly stated.

5. Prohibited Uses

You agree not to use the Services or digital products for any of the following purposes:

• Any unlawful purpose or in violation of any applicable laws
• To infringe upon or violate our intellectual property rights or those of others
• To harass, abuse, harm, defame, intimidate, or discriminate against any person
• To submit false or misleading information, including misrepresenting the platform’s features or earnings potential to recruit referrals
• To upload or transmit viruses, malware, or any other malicious code
• To collect or track personal information of others without consent
• To spam, phish, or engage in other unsolicited promotional activities
• To interfere with or circumvent security features of the Services
• To impersonate any person or entity or falsely state your affiliation
• To create fake or duplicate accounts to generate referral bonuses
• To use bots, scripts, or automated tools to generate fake sign-ups
• To reverse engineer, decompile, or disassemble any digital products
• To share, distribute, or resell digital products in violation of Section 3

Violation of this section may result in immediate termination of your account, forfeiture of any referral bonuses or revenue share, and legal action.

6. Intellectual Property Rights

6.1 Our Content

The Services and all content, features, and functionality — including all information, software, text, displays, images, video, audio, design, and digital products — are owned by ZingThis, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Trademarks

“ZingThis,” “ZingThis LegacyLoop,” “LegacyLoop,” the ZingThis logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ZingThis, LLC or its affiliates or licensors. You must not use such marks without our prior written permission.

6.3 Limited License to Use Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to your compliance with these Terms.

7. Social Media Platform Compliance

LegacyLoop facilitates voluntary discovery of content on third-party platforms including Facebook, Instagram, and LinkedIn. ZingThis does not access, control, or interact with any third-party social media platform directly, does not use APIs, bots, or automation tools on any social media platform, and does not guarantee that participation in LegacyLoop complies with any specific social media platform’s terms of service.

Each member is solely responsible for understanding and complying with the terms of service of any social media platform on which they publish content or engage. ZingThis is not responsible for any account suspension, restriction, or penalty imposed by any third-party platform.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL DIGITAL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ZINGTHIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT; AND WARRANTIES THAT THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS.

ZINGTHIS MAKES NO GUARANTEE THAT USE OF THE PLATFORM WILL RESULT IN ANY SPECIFIC MEMBERSHIP GROWTH, CIRCLE REVENUE, REFERRAL EARNINGS, SOCIAL MEDIA REACH, OR ALGORITHMIC OUTCOMES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. Limitation of Liability

9.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZINGTHIS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOST PROFITS, REVENUE, OR INCOME; LOST DATA OR BUSINESS OPPORTUNITIES; LOSS OF USE OR GOODWILL; BUSINESS INTERRUPTION; OR ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA, ERRORS OR INACCURACIES IN CONTENT, OR SUSPENSION OR TERMINATION OF YOUR ACCOUNT.

9.2 Limitation for Membership and Digital Products

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZINGTHIS SHALL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM USE OF MEMBERSHIP FEATURES OR DIGITAL PRODUCTS, INCLUDING BUT NOT LIMITED TO: FAILURE TO RECRUIT OR RETAIN CIRCLE MEMBERS; FAILURE TO EARN REFERRAL BONUSES; LOST REVENUE SHARE RESULTING FROM MEMBER CANCELLATIONS; SOCIAL MEDIA ACCOUNT RESTRICTIONS OR PENALTIES FROM THIRD-PARTY PLATFORMS; OR ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID IN THE 30 DAYS PRECEDING THE CLAIM.

ZINGTHIS’S MAXIMUM AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO ZINGTHIS IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.3 Essential Purpose

You acknowledge that these limitations of liability are fundamental elements of the agreement between you and ZingThis, and that ZingThis would not provide the Services without these limitations. Some jurisdictions do not allow limitations on liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless ZingThis, LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to:

• Your violation of these Terms of Service
• Your violation of any applicable laws, regulations, or third-party rights
• Your unauthorized use, reproduction, distribution, or sale of digital products
• Any misrepresentation made by you, including misrepresenting the platform to recruit referrals
• Your violation of any intellectual property rights, privacy rights, or other rights of any third party
• Any content you submit, post, or transmit through the Services
• Your violation of any third-party social media platform’s terms of service
• Your negligence, willful misconduct, or breach of these Terms

This indemnification obligation will survive termination of your account or use of Services. ZingThis reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.

11. Dispute Resolution and Arbitration

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law principles.

11.2 Mandatory Arbitration

YOU AND ZINGTHIS AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, EXCEPT AS PROVIDED BELOW. Arbitration shall be conducted by a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

Exceptions to arbitration include: small claims court actions (if the claim qualifies), intellectual property disputes (copyright, trademark infringement), and equitable relief to prevent unauthorized use or disclosure of confidential information.

11.3 Class Action Waiver

YOU AND ZINGTHIS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, OR A JURY TRIAL.

11.4 Location

Any arbitration shall take place in Garrett County, Maryland, or remotely via video conference if mutually agreed.

11.5 Costs

Each party shall bear its own costs and attorneys’ fees, unless the arbitrator awards costs and fees to the prevailing party as permitted by law.

12. Termination

12.1 Termination by You

You may cancel your membership or terminate your account at any time by contacting us at info@zingthis.com (cc: zingrally@gmail.com), or through your account dashboard at app.zingthis.com. Upon termination, you will lose access to your account and membership features at the end of your current billing period. No refunds will be issued for unused subscription periods.

12.2 Termination by ZingThis

We reserve the right to suspend or terminate your account and access to the Services, with or without notice, for: violation of these Terms; suspected fraudulent, abusive, or illegal activity (including referral fraud); extended periods of inactivity; unauthorized sharing or distribution of digital products; non-payment of fees; or any other reason at our sole discretion.

Upon termination, all licenses granted to you will immediately cease, you must cease all use of the Services and digital products, and we may delete your account data and content. Sections 3, 8, 9, 10, 11, and 13 shall survive termination.

12.3 Effect of Termination

Termination of your account does not entitle you to any refund for membership fees or digital products already paid. You remain liable for all obligations incurred prior to termination. Any pending referral bonuses not yet vested (i.e., referred member has not yet completed their second payment) are forfeited upon termination for cause.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, Earnings & Affiliate Disclaimer, and any other legal notices published by ZingThis, constitute the entire agreement between you and ZingThis concerning the Services.

13.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of ZingThis.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

ZingThis shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13.6 Modifications to Terms

We reserve the right to modify these Terms at any time, effective upon posting the updated Terms on our website with a new effective date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. For material changes that affect your rights, we will make reasonable efforts to notify you via email or prominent notice on our website.

13.7 Headings

Section headings in these Terms are for convenience only and shall not govern the meaning or interpretation of any provision.

13.8 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of conflict, the English version shall prevail.

13.9 International Use

ZingThis makes no representation that the Services are appropriate or available for use in all locations. You access the Services at your own initiative and are responsible for compliance with all applicable local laws, rules, and regulations, including those related to data privacy and protection, intellectual property rights, export controls, content restrictions, and tax obligations.

15. Acknowledgment and Acceptance

BY USING THE SERVICES, CLICKING “I AGREE” (OR SIMILAR BUTTON OR CHECKBOX), SUBSCRIBING TO ANY MEMBERSHIP TIER, OR COMPLETING A PURCHASE, YOU ACKNOWLEDGE THAT:

• You have read these Terms of Service in their entirety
• You understand and agree to be legally bound by these Terms
• You meet the eligibility requirements (18+ years of age)
• You agree to the arbitration and class action waiver provisions
• You understand that membership fees are non-refundable upon cancellation and digital product sales are final
• You understand that LegacyLoop is a voluntary visibility platform and no earnings, income, or visibility outcomes are guaranteed
